The agreement governing your use of Credtent's platform and services.

These Terms of Service ("Terms") govern your access to and use of Credtent's website, platform, and services (collectively, the "Services"). By creating an account or using our Services, you agree to be bound by these Terms.
Credtent, Inc. is a neutral, third-party utility uniting creatives and AI companies for mutual prosperity. We are a Delaware Public Benefit Corporation.
Credtent provides the following primary services:
Register your name and creative works to be excluded from AI training data usage. We submit opt-out requests to AI developers and track compliance on your behalf. This service is free and always will be.
Enhanced tracking of opt-out requests with detailed reporting, auditing, and compliance monitoring. Available on paid plans.
Standard and Premium licensing of your content to AI developers. Credtent facilitates agreements on your behalf and distributes earnings quarterly, minus our 15% platform fee and applicable transaction costs.

By registering content, you represent and warrant that:
For Licensing Service users, you grant Credtent a limited, non-exclusive right to license your registered content to AI developers on your behalf, subject to the terms and pricing you set (or Credtent's standard rates if you haven't set custom pricing).
While your content is enrolled in Credtent's Licensing Service, you may not offer a license to the same content to any AI developer directly or through any other intermediary with respect to content for which you've granted us an exclusive licensing right.
You may not register or use the platform in connection with content that is:
Paid plan subscription fees are billed annually and are non-refundable unless required by applicable law.
License payments are distributed quarterly, after deducting:
Payments are made in USD via PayPal, Venmo, Zelle, or ACH bank transfer. You must maintain a valid payment method to receive earnings.
Credtent uses a science-driven content valuation methodology to establish fair market rates for standard licensing. Premium plan members may set their own pricing, which must fall within Credtent's published minimum and maximum ranges.

Either party may terminate these Terms at any time. You may close your account through account settings. We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Services ends, but we will continue to pay any outstanding earnings owed to you.
The Services are provided "as is" and "as available" without warranties of any kind, express or implied. Credtent does not warrant that the Services will be uninterrupted, error-free, or that opt-out requests will result in full compliance by all AI companies. We do not guarantee specific earnings from licensing.
To the maximum extent permitted by law, Credtent's total liability to you for any claims arising from these Terms or your use of the Services shall not exceed the greater of (a) the amount you paid to Credtent in the 12 months before the claim arose, or (b) $100. We are not liable for any indirect, incidental, special, or consequential damages.
All disputes arising from these Terms or your use of the Services will be resolved through binding individual arbitration, not in court, except as noted below. You waive your right to participate in class action lawsuits.
You may opt out of this arbitration provision within 30 days of creating your account by sending written notice via certified mail to:
Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights or unauthorized access to the platform.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on the platform at least 30 days before taking effect. Continued use after that date constitutes acceptance.
